The Firm represents corporate and individual investors (usually with an Israeli connection) with respect to both outbound and inbound investments. We have been involved in a broad range of transactions including: public and private equity offerings, secured financing transactions and mergers, acquisitions and privatizations.
In each outbound transaction, we work in cooperation with local legal and tax experts, but we assume primary responsibility for the transaction, and supervise all aspects of the legal work, taking advantage of the know-how and experience we have accumulated working in the United States, Eastern and Western Europe. Our involvement is very broad, from structuring the transaction, through drafting the necessary documentation, and ending with closing and post-closing implementation .
Our representation of Israeli-related investors in outbound transactions has included investments in the fields of real estate, non-banking financial services (insurance, pension funds), agriculature and telecommunications.
We have also represented individuals and institutional investors based abroad in all aspects (including taxation) of investments in Israeli companies and investment funds.

High Tech and Venture Capital
The Firm advises clients on the full spectrum of matters relating to the high-technology industry. We have advised start-ups from their establishment, through venture capital transactions, product development and exit trasnactions.
We have also represented institutional and individual investors in Israeli high-technology investments.
We are able to offer technology companies a “one stop shop” for legal services, encompassing matters relating to raising capital, commercial operations, technology licensiing, and employment and compensation issues.
Our technology clients include start-ups and maturing companies in the fintech, agritech, greentech and biotech, hospitality, cyber security, and cloud optimization spaces.
On the other side, we represent strategic and financial investors in start-ups and maturing technology companies.

The Firm represents owners and distributors in the commercialization of technology solutions, including the full range of license, SaaS, distribution and reseller arrangements and bespoke legal solutions for clients in respect of their relationships with regulated and institutional clients.

Where promises and/or money are changing hands in a commercial transaction that doesn’t fit neatly into one of the categories above, the Firm provides legal counsel and advice to its clients to structure, negotiate and document new deals, routine operating matters, bespoke and on-off events, and dispute resolution.

International Real Estate
The Firm represents individual and corporate Israeli entrepreneurs, investors, and developers in connection with real estate projects in North America, Western and Eastern Europe and Asia. In these transactions we generally assume primary responsibility for the financing and corporate aspects of the transaction, and supervise the overseas legal work, including due diligence and acquisition, zoning and land use issues, real estate taxation and tax planning, construction contracts and construction financing, and residential and commercial sale and lease contracts, acting as a bridge between the Israeli developers and the local legal team and financing partners.
